CHAPTER A



ARTICLE 1 - NAME AND SEAT OF SOCIETY



Name and Seat of Society It is established in Cyprus today, this 28th November 2017 a Society with the name Friends of Larnaca Cats, having its seat at house No 4, Evaggelia Gardens, Kantretti Avenue, Alethriko, 7570 Larnaca, which constitutes a legal person and it is governed by the provisions of the present Articles of Association, as well as by the provisions of the relevant Legislation. ARTICLE 2 - Purposes of the Society



The purposes of the Society are:

a. The protection, housing, accommodation, feeding, grooming, cleaning, care, recovery, health, assistance, maintenance and welfare of cats, abandoned and stray cats in the town and district of Larnaca.

b. The provision of services for the purpose of the protection, housing, accommodation, feeding, grooming, cleaning, treatment, recovery, health, assistance, maintenance and welfare of cats, abandoned and stray cats in the town and district of Larnaca.

c. The acquisition, purchase, lease, rental, creation and operation of a suitable reception and shelter place for cats, abandoned and stray cats, for the purpose of their protection, housing, accommodation, feeding, grooming, cleaning, treatment, recovery, health, assistance, maintenance and welfare in the town and district of Larnaca.

d. The acquisition, purchase, rental, securing and installation of the relevant and appropriate equipment and the purchase, supply of food and other supplies, products, sand, medicine for the protection, housing, accommodation, feeding, grooming, cleaning, treatment, recovery, health, assistance, maintenance and welfare of cats, abandoned and stray cats in the town and district of Larnaca.

e. To develop, cultivate and strengthen communication and relationships between the members of the Friends of Larnaca Cats and their respective associations in Cyprus and abroad.

f. The contribution, preservation, protection of the welfare and living conditions of cats, abandoned and stray cats in the town and district of Larnaca.

g. The cultivation of culture and raising the awareness of the community of the town and district of Larnaca for the protection, respect and well-being of cats. To provide information and awareness of both the community as a whole and the authorities responsible for the welfare, respect and protection of cats.

h. Organizing, showing and promoting events, whether charitable or otherwise, for the collection of money, food, medicines or other supplies for the protection, housing, accommodation, feeding, grooming, cleaning, treatment, recovery, health, assistance, maintenance and welfare of cats, abandoned and stray cats in the town and district of Larnaca.

i. The cooperation with the competent authorities, local, governmental, semi-governmental, municipal or community, to address and resolve problems or any issues related to the protection, housing, accommodation, feeding, grooming, cleaning, treatment, recovery, health, assistance, maintenance and welfare of cats, abandoned and stray cats in the town and district of Larnaca. 2

j. The submission of requests or applications to all competent bodies, departments, services and authorities for the purposes of obtaining grants, aids, permits and approvals to promote the purposes of the society for the protection, housing, accommodation, feeding, grooming, cleaning, treatment, recovery, health, assistance, maintenance and welfare of cats, abandoned and stray cats in the town and district of Larnaca. Moreover, the Society, insofar as it is entitled to under the relevant Laws and Regulations, will be able to apply and receive governmental or European grants or assistance.

k. The co-operation with all communities and organised groups of people residing in the town and district of Larnaca, as well as in the other towns and districts of Cyprus for the promotion of the Society’s purposes.

l. The creation, operation and maintenance of a Centre – Home for the Protection, Welfare, Housing, Accommodation, Feeding, Treatment, Care, Cleaning and Maintenance of cats, abandoned and stray cats in the town and district of Larnaca.

m. The organization of conferences, lectures, seminars, studies, surveys and projections related to cats, abandoned and stray cats for information, briefing and awareness of the public and the authorities and the creation of volunteerism.

n. The prevention of abuse or abandonment of cats and to provide care, feeding and shelter to abused, abandoned and stray cats.

o. The collaboration with the governmental Veterinary Services, private veterinary clinics and veterinarians for the sterilization, care, treatment, cleaning, health, protection, welfare and maintenance of cats, abandoned and stray cats in the town and the district of Larnaca.

p. The promotion and implementation of adoptions of cats, abandoned and stray cats in the town and district of Larnaca, anywhere in Cyprus or abroad and to arrange their transfer and transition to their place of adoption.

q. To accept donations, trusts, bequests, benefits and any financial or other assistance to the Society for its operation and maintenance, as well as the achievement of its goals.

r. The acquisition, maintenance, preservation and management of immovable and movable property through which the Society will carry out its activities and promote its purposes.

s. The Society for the achievement of its purposes and its operation may have in its name and manage bank account or account, immovable and movable property, as well as any other assets.

t. The participation in research or other funded or co-funded by third parties programs in relation to the achievement of the purposes and operation of the Society.

u. The Society may proceed with and execute any other acts and actions to achieve its purposes and aims and for its operation.



ARTICLE 3 - MEANS TO ACHIEVE THE PURPOSES OF THE SOCIETY



The means to achieve the purposes of the Society are the following:

a. To track down stray cats or cats needing help and the timely intervention and provision of assistance to them.

b. The organization of conferences, lectures, seminars and researches on the issue of stray cats and or cats who need help or the organization of other events that directly or indirectly promote the purposes of the Society.

c. The establishment of mechanisms both in Cyprus and abroad with governmental authorities and services and voluntary organizations, as well as with the political parties for the promotion of the purposes of the Society.

d. The information and education of the community, parents, children, schools, tourists, foreign and Cypriot travellers, teachers, social groups, political parties, municipalities and communities of the town and district of Larnaca, as well as the public on issues relating to the protection, care, welfare, housing, feeding, treatment, care, cleaning and maintenance of cats, stray or abandoned cats and the cats who need help through: i. Discussions, articles, publications and other programs from the media and the social media. ii. Other legitimate means.

e. Organising events and securing financial resources through the State, other institutions and the public, which are necessary to achieve the purposes of the Society.

f. To Contribute in the acquisition, establishment and preservation, maintenance and operation of centres, institutions or other bodies providing care and protection services to stray cats or cats in need of assistance.

g. The use of all means for publishing or viewing publications or forms relating to cats, stray cats or cats in need of assistance, the creation, management, preservation and enrichment of the library or electronic library or website of the Society.

h. Any other means held by the Society to be suitable for the promotion and achievement of its purposes.



CHAPTER B: MEMBERS



ARTICLE 4 - Categories of members



The Society constitutes of two categories of members:

a. the Honorary Members, and

b. the Ordinary Members



ARTICLE 5 - Honorary members



Honorary members can be nominated by the Board of Directors of the Society being persons who excel in the society and offer or can offer exceptional services for the achievement of the purposes of the Society.


Honorary Members are exempted from the obligations of ordinary members and are entitled to attend General Meetings and participate in discussions. However, they cannot participate in the administration of the society or vote at Extraordinary or General Meetings unless they are also ordinary members.



ARTICLE 6 - ORDINARY MEMBERS



An ordinary member is entitled to be any interested person who has attained the age of 18 and is a permanent resident of Cyprus, as well as other interested people from countries of the European Union or from other countries who have attained the age of 18, after a written application to the Board of Directors of the Society. An Honorary member may, if they wish, be registered at the same time as an Ordinary member, under the terms and conditions of the present Articles of Association.



ARTICLE 7 - RESGISTRATION OF MEMBERS



a. An application for the acceptance of a member is only examined when the applicant has attained the age of 18 at the time of submitting their registration application.

b. Applications for registration must be submitted in writing to the Board of Directors.

c. The application for registration must be accompanied by the corresponding fee. 5

d. Approval is granted by the Board of Directors, following a vote and securing majority votes.

e. In case of rejection, the fee paid with the application will be refunded.

f. An application for the registration of a member which was rejected may be re-submitted after the lapse of six (6) months after the rejection decision has been taken.



article 8 - subscription of ordinary members



a. The subscription of ordinary members is compulsory and amounts to €20 euros annually. Ordinary members who show an unemployment or incompetency certificate or have attained the age of 65 are entitled to be exempted from the obligation to pay the subscription after a decision of the Board of Directors and after examining their request.

b. Honorary members will not pay a mandatory subscription, but any voluntary contribution from them is welcome.

c. Any change in the aforesaid amount of the subscription will be decided by the General Meeting of the Society and it will be adopted after its decision.



article 9 - collection of subscriptions



The collection of the subscriptions is made by the Treasurer or by a person authorised by the Board of Directors of the Society.



ARTICLE 10 - NOTICE OF MEMBER APPROVAL



A person who is approved as a member will be notified through a relevant letter or email accompanied by the articles of association of the Society, where possible.



article 11 - rights of ordinary members



a. The members have the rights provided by the Law and the present Articles of Association.

b. Persons approved as members will receive in this respect a notification from the Society through a relevant letter or e-mail, accompanied by the Articles of the Association, wherever possible.

c. To elect and be elected after the lapse of six (6) months from the date of the approval of their registration. 6

d. Subject to article 7 (a) of the present articles of association regarding the registration of members, a right to vote and be elected have only those who have attained the age of 18 and provided they have fulfilled their current financial and other obligations towards the Society.

e. Each ordinary member has only one vote at the General Meetings of the Society.



article 12 - obligations of ordinary members



a. To attend the General Meetings of the Society.

b. To comply with all the provisions of the articles of association of the Society and the Regulations voted or approved by the Board of Directors each time.

c. To accept and perform the duties assigned to them by the Board of Directors and after the decisions of the General Meetings. If they are unable to do so, to inform the Board of Directors on time and accordingly to be exempted from such obligations.

d. To consistently renew their registration by paying their subscription, which will be paid annually within thirty (30) days from the date of approval of a member's registration by the Board of Directors or from the date of its renewal.

e. Each ordinary member is obliged towards the Society to keep confidential the decisions of the Society, as well as the discussions or procedures held at the General Meetings or any other activity or action of the Society or its members. The duty and obligation of confidentiality that each ordinary member has, is continuous and continues to exist even when the ordinary member withdraws, resigns or is expelled from the Society.



ARTICLE 13 - General obligations of all the members – Ordinary and Honorary



a. The members have to inform the Board of Directors of any change of their address.

b. The members have to comply with the present articles of association, the Code of Ethics that the Board of Directors will introduce in the future, as well as with the decisions of the Board of Directors and the General Meeting.

c. Every member of the Society, ordinary or honorary, has an obligation towards the society to keep confidential the decisions of the Society, as well as the discussions or procedures undertaken during the General Meetings or during any other activity or action of the Society or its members. The duty and obligation of confidentiality that each ordinary or honorary member has, is continuous and continues to exist even when the ordinary member withdraws, resigns or is expelled from the Society.



ARTICLE 14 - Deprivation of Member’s Rights



Any member who delays their subscription, will be deprived of the right to elect and be elected. In the case set out in article 15 (a), the said member regains their rights if they pay the delayed subscriptions.



ARTICLE 15 - Deletion – Expulsion of a Member



a. A member is deleted from the Society, if he/she is late to pay their subscription within 3 months after the date the subscription became payable and only after a decision of the Board of Directors. The decision of the Board of Directors will be notified to him/her in writing or via e-mail. The said member is entitled to apply for re-registration within thirty (30) days from the day of the notification to him/her of the written decision and provided he/she has paid the subscriptions due.

b. A member who systematically violates the articles of association or the decisions or recommendations of the Board of Directors, after careful consideration of his case by the Board of Directors, is deleted either for a specified period or forever. The proposal for deletion should be mentioned on the agenda of the meeting of the Board of Directors.

c. Any member demonstrating violent behaviour or abuses or neglects at fault or omits to care or feed or is not interested in housing or does not respect the welfare of cats or systematically fails to comply or does not systematically adhere to the articles of association of the Society and the decisions of the Board of Directors and the General Meeting, is deleted either for a specified period or forever. The proposal for deletion must be mentioned in the agenda of the meeting of the Board of Directors.



ARTICLE 16 - Member Withdrawal



a. Any member may withdraw from the Society at any time he/she wishes, after having stated his/her intention in writing to the Board of Directors.

b. In addition to paragraph (a) of this article, in the event that the member has previously undertaken any obligations to the Society, he/she is obliged to complete them before withdrawing, unless a substitute is found. With respect to this paragraph, the Board of Directors retains the discretion and right to exempt the withdrawing member from these obligations and/or duties.



ARTICLE 17 - Re-registration of a Member
